Welcome to Wordwand. These Terms and Conditions (“Terms”) govern your access to and use of the Wordwand application, website, and services (collectively, the “Service”) operated by Wordwand (“we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. Definitions

For the purposes of these Terms:

• “Account” means a unique account created for you to access our Service.
• “Application” means the Wordwand software applications for macOS and iOS devices.
• “Content” means any text, data, or other materials you submit to, or generate through, the Service.
• “Device” means any device that can access the Service, such as a computer, tablet, or mobile phone.
• “Service” means the Wordwand application, website, APIs, and all related services.
• “Subscription” means a recurring payment plan granting access to premium features of the Service.
• “User” or “you” means the individual accessing or using the Service.

2. Eligibility

2.1 Age Requirements

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are between 13 and 18 years of age (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

2.2 Account Responsibility

If you create an Account, you are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your Account
• Notifying us immediately of any unauthorized use of your Account

We reserve the right to refuse service, terminate accounts, or remove or edit content at our sole discretion.

3. Description of Service

3.1 Core Features

Wordwand is an AI-powered writing assistant that provides:

• Text Improvement: Grammar, spelling, and style corrections
• Translation: Multi-language text translation services
• Text Enhancement: Advanced rewording and refinement
• Ask AI: Context-aware AI assistant for questions and tasks
• Ask AI Vision: AI-powered image analysis and question answering based on screenshots or photos
• Todo Extraction: Automatic extraction of action items from text
• Speech-to-Text: Voice dictation and audio transcription
• Text-to-Speech: Conversion of text to spoken audio
• Summary & Podcast Mode: AI-powered text summarization and podcast-style audio generation (Pro feature)
• Custom Shortcuts: User-created AI prompt shortcuts (Pro feature)
• Custom Dictionary: User-defined words for spell-checking

3.2 Platform Availability

The Service is available on:

• macOS (native desktop application)
• iOS (native application and keyboard extension)
• Web (landing page and account management)

3.3 Third-Party Services

The Service relies on third-party providers to deliver certain functionality. By using the Service, you acknowledge that your data may be processed by:

• Google Cloud Platform for API infrastructure hosting (Google Cloud Run)
• Google AI (Gemini) for AI-powered text and image processing
• Google Cloud for text-to-speech services
• OpenAI (Whisper) for speech-to-text transcription
• Supabase for authentication and data storage
• Stripe for payment processing (macOS/web)
• Apple StoreKit for in-app purchases (iOS)
• Sentry for crash reporting and performance monitoring (macOS)
• Vercel Analytics for privacy-respecting website analytics

4. Subscriptions and Payment

4.1 Subscription Tiers

The Service offers the following subscription options:

4.2 Billing and Auto-Renewal

• Subscriptions are billed in advance on a monthly or annual basis
• Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date
• You authorize us (or our payment processors) to charge the applicable subscription fee using your selected payment method
• Prices are in United States Dollars (USD) and may be subject to applicable taxes

4.3 Payment Processing

• macOS/Web: Payments are processed by Stripe, a PCI DSS compliant payment processor. We do not store your credit card information.
• iOS: Payments are processed through Apple's App Store. All billing is managed by Apple according to their terms.

4.4 Cancellation

• You may cancel your subscription at any time through your account settings or the respective app store
• Cancellation will take effect at the end of the current billing period
• You will retain access to premium features until the end of your paid period
• No refunds will be provided for partial subscription periods

4.5 Usage Limits

• Word usage counts reset on the first day of each calendar month
• Unused words do not roll over to subsequent months
• If you exceed your monthly limit, you will need to upgrade your plan or wait until the next billing cycle

5. User Responsibilities and Acceptable Use

5.1 Lawful Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service in any way that violates applicable laws or regulations
• Submit content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the Service or servers connected to the Service
• Use the Service to send spam, bulk messages, or other forms of unsolicited communications
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use automated systems (bots, scrapers, etc.) to access the Service without permission
• Circumvent or manipulate usage limits, rate limits, or billing systems
• Share account credentials with third parties or use another user's account

5.2 Content Responsibility

You are solely responsible for all Content you submit through the Service. You represent and warrant that:

• You own or have the necessary rights to use and share such Content
• Your Content does not infringe upon the intellectual property rights of any third party
• Your Content does not violate any applicable law or regulation

5.3 AI-Generated Content

You acknowledge that:

• AI-generated suggestions and outputs are provided “as-is”
• You are responsible for reviewing and verifying all AI-generated content before use
• AI outputs may contain errors, inaccuracies, or inappropriate content
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any particular purpose

6. Intellectual Property

6.1 Our Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Wordwand and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

6.2 Your Content

You retain all ownership rights to the Content you submit through the Service. By submitting Content, you grant us a limited, non-exclusive, royalty-free license to:

• Process your Content to provide the Service
• Store your Content temporarily as necessary to deliver the Service

This license terminates when you delete your Content or close your Account.

6.3 AI Output

Any text improvements, translations, or other outputs generated by the AI based on your Content are provided for your use. You may use such outputs for any lawful purpose, subject to your responsibility to verify their accuracy and appropriateness.

6.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without any obligation to compensate you.

7. Privacy

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information. The Privacy Policy is incorporated into these Terms by reference.

8. Disclaimers and Limitations of Liability

8.1 Service Provided “As Is”

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF ANY INFORMATION PROVIDED THROUGH THE SERVICE

8.2 AI Content Disclaimer

WE DO NOT WARRANT THAT:

• AI-generated content will be accurate, complete, or error-free
• AI suggestions will be appropriate for your specific use case
• AI-generated image analysis will be accurate or complete
• Speech-to-text transcriptions will be error-free
• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WORDWAND, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
• DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT
• ANY THIRD-PARTY CONDUCT ON THE SERVICE

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

8.4 Essential Purpose

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to indemnify, defend, and hold harmless Wordwand and its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any Content you submit through the Service

The Service integrates with third-party services that have their own terms and privacy policies:

• OpenAI: Subject to OpenAI's Terms of Use and Privacy Policy

The Service may contain links to third-party websites or services. We are not responsible for the content, privacy policies, or practices of any third-party websites or services.

11. Termination

11.1 Termination by You

You may terminate your Account at any time by:

• Deleting your account through the Application settings
• Contacting us at support@wordwand.co

11.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, if:

• You breach any provision of these Terms
• We are required to do so by law
• We decide to discontinue the Service

11.3 Effect of Termination

Upon termination:

• Your right to use the Service will cease immediately
• We may delete your Account and associated data
• Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability

12. Modifications to Service and Terms

12.1 Service Modifications

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

12.2 Terms Modifications

We may modify these Terms at any time. If we make material changes, we will notify you by:

• Posting the updated Terms on our website
• Updating the “Last Updated” date at the top of these Terms
• Sending an email notification to registered users (for significant changes)

Your continued use of the Service after any modifications constitutes acceptance of the updated Terms.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

13.2 Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall be resolved through:

1. Informal Resolution: We encourage you to contact us first at support@wordwand.co to resolve any disputes informally.
2. Binding Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English.
3. Exceptions: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights.

13.3 Class Action Waiver

YOU AND WORDWAND AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

14. General Provisions

14.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Wordwand regarding the Service and supersede all prior agreements and understandings.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, acts of government, or internet service provider failures.
